The undersigned, each an officer of the > Corporation, agrees that in the event that any part of my compensation will be disallowed by the Internal Revenue Service of the Department of the Treasury of the United States as unreasonable compensation and an unreasonable deduction in the calculation of this Corporation's federal income tax liability I shall repay to the Corporation within > days after a final disallowance of such deduction by the Internal Revenue Service and the conclusion of any appeals I may choose to make from such a determination.
