                 SOFTWARE REPRODUCTION AGREEMENT


@001, referred to herein as DEVELOPER, and @002, referred to 
herein as RE-SELLER, agree:

@001 is the developer of, and copyyright proprietor of the 
following computer programs and associated documentation:

The same is copyright @241 and registered with the Copyright 
Office of the United States, and has been given certificate 
numbers @242.

In consideration of the royalties to be paid herein by RE-SELLER 
to DEVELOPER, RE-SELLER herewith grants permission to @002 to 
copy for re-sale or for incorporation into hardware sold by 
RE-SELLER, whether onto fixed drives, Local Area Networks or 
floppy diskettes the software described above, provided that at 
the time that such copies are made @002 is in compliance with all 
requirements herein. However, @002 shall not have the right 
without furhter permission of @001 to upload the same onto any 
bulletin board system or similiar telecommunications entity. 
Further, subject to the terms and conditions herein, @002 may 
reproduce the associated documentation of the program. However, 
the number of sets of documentation reproduced shall be limited 
to an amount equal to that which royalties are paid.

On all sets of the same reproduced, RE-SELLER shall include the 
copyright notice of @001, and shall include a statement that 
"this software is reproduced by @002 under license by @001." 


The sole warranty which RE-SELLER may make shall be limited to 
the warranty, if any, which may be authorized by @001 from time 
to time. Should any warranty be provided from time to time, RE-
SELLER shall provide the name and address, together with the type 
of software sold (LAN vs. Single user) of all buyers subject to 
each particular warranty.


For each copy of the program reproduced in non-LAN form, a fee of 
@243 shall be paid. Per LAN version provided, a fee of @244 shall 
be paid.


@002 shall be provided with a master diskette and master copy of 
the program documentation. The same is leased only to @002, and 
shall remain the sole property of @001, and may be recalled and 
reclaimed by @001 at any time. If @002 should ever be delinquent 
in payment, @001 shall have the right to demand the return of the 
same. Further, upon any termination of this agreement, @002 shall 
using a file wipe utility in accordance with government 
standards, permanently wipe any archival backups or other copies 
of the same. @002 shall provide a certificate sworn to under oath 
by a responsible officer, attesting to the wiping of the files 
and return or destruction of all copies of the documentation and 
copies of the program.
